Terms of Service
1. What Perennial is
Perennial is software for managing grant awards after they are won. It records what you tell it, computes arithmetic it shows its work for, and reproduces regulatory text from official government sources. It is a system of record and an early-warning system.
Perennial is not a law firm, an accounting firm, or a grants consultant, and nothing it displays is legal, accounting, or compliance advice. Regulatory text is reproduced from the eCFR, which is authoritative but unofficial; the official text is the annual printed Code of Federal Regulations and the Federal Register. Deadlines, thresholds, and flags are aids to your judgment, never a substitute for it. You remain responsible for your own compliance with the terms of your awards and with applicable law.
2. Your account
You must provide accurate information at signup and keep your sign-in credentials confidential. You are responsible for activity under your organization's seats. The administrator seat controls who else may access the organization's data and may disable seats at any time. Notify us promptly at the support address if you believe an account has been compromised.
3. Your data is yours
Everything you enter into Perennial (awards, budgets, transactions, documents, photos, comments) belongs to your organization. We claim no ownership of it. You can export your data (Excel, PDF) at any time, and on written request after termination we will provide a complete export in a standard format within 30 days.
We access your data only to operate and support the service, to fix a problem you report, or as required by law. We do not sell your data, and we do not use one customer's data to benefit another. Aggregate, de-identified operational statistics (for example, how many organizations use a feature) may be used to improve the product.
For tribal nations: Perennial respects that your data is subject to your sovereignty. Nothing in these terms grants us any right in tribal data beyond the minimum needed to operate the service you have subscribed to.
4. Fees and billing
Plans and prices are listed at signup and in Settings, billed through Stripe. Subscriptions renew monthly until canceled; cancel any time and access continues through the paid period. Fees are not refundable except where the law requires. We will give at least 30 days notice before any price increase takes effect on your plan. If payment fails, we may suspend access after notice; your data stays intact and exportable during suspension.
5. Acceptable use
Use Perennial only for lawful grants-management purposes. Do not attempt to access another organization's data, probe or overload the service, resell it without a written agreement, or upload content you have no right to store.
6. Availability and support
We aim to keep Perennial available continuously but do not promise uninterrupted service. Planned maintenance will be scheduled off-hours where practical. Support response targets by plan are listed on the pricing page. The audit trail records changes to your data as they happen; back-end backups are maintained, but you are encouraged to keep your own periodic exports.
7. Disclaimers and limits of liability
The service is provided as is and as available, without warranties of any kind, express or implied, including fitness for a particular purpose. In particular, we do not warrant that any flag, deadline, threshold, or regulatory reproduction is complete or error-free, and missing a flag is never a defense to a funder.
To the maximum extent permitted by law, MFJ Grant Strategies, LLC is not liable for indirect, incidental, special, or consequential damages, including disallowed costs, lost funding, or audit findings, and our total liability for any claim is limited to the fees you paid for the service in the twelve months before the claim arose.
8. Termination
You may cancel at any time from Settings or by written notice. We may suspend or terminate for material breach of these terms after notice and a reasonable opportunity to cure, or immediately for unlawful use. Sections 3, 7, and 9 survive termination.
9. Disputes
These terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Before filing any claim, both sides agree to try in good faith to resolve the dispute directly within 30 days of written notice. Nothing in these terms waives, or shall be construed to waive, the sovereign immunity of any tribal nation customer, which is expressly preserved; any dispute resolution with a tribal nation will be as separately agreed in writing with that nation.
10. Changes to these terms
We may update these terms as the product grows. Material changes will be announced in the portal at least 30 days before they take effect; continued use after the effective date is acceptance. The current terms always live at this address.
